Terms of Service

1. Who we are

SubcontractCheck is operated by 14926668 Canada Ltd. ("we", "us"), [CONFIRM: city, province], Canada. These terms apply to subcontractcheck.com and every report it produces. By creating an account or using the clause demo you agree to them.

2. What the service is

SubcontractCheck is software that reads construction contracts you upload and produces an automated report that points out clauses that may shift risk, cost, or schedule onto you, with suggested wording.

It is not legal advice. We are not a law firm, and using the service does not create a lawyer-client or solicitor-client relationship with us or anyone else. Reports can be wrong, incomplete, or out of date. You are responsible for your own decisions and for getting legal advice where it matters, especially for large or unusual contracts.

3. Your account

You need a valid email address to create an account. Keep access to it secure. You must be at least the age of majority where you live and able to enter a contract for your business.

You may only upload documents you are allowed to share with a service provider for review. Do not upload anything unlawful.

4. Payment

Single reports are paid once per contract. The Unlimited plan is billed monthly until you cancel. Prices are shown in Canadian or US dollars before you pay. Taxes may be added where required.

Your first full report is free. Unlimited is subject to fair use: normal use by one company's estimators and project managers. If use looks automated or resold, we may contact you or limit the account.

You can cancel Unlimited from your account at any time. Cancellation takes effect at the end of the current billing period. If a report fails on our side, we return the credit automatically. Other refunds are at our discretion; email us.

5. Your documents and reports

You keep all rights to the documents you upload and to your reports. You give us permission to process them only to produce and store your reports and to run the service. We delete the original file after analysis and we do not use your documents to train AI models. See the Privacy Policy for details.

6. Acceptable use

Do not try to break, overload, or reverse engineer the service, get around rate limits, access other people's data, or use the service to build a competing product.

7. Limitation of liability

The service is provided as is. To the fullest extent the law allows, we are not liable for any indirect, incidental, special, or consequential loss, lost profit, or lost contract arising from use of the service or reliance on a report.

To the fullest extent the law allows, our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim.

Nothing in these terms limits rights you have under consumer protection law that cannot be limited by contract.

8. Changes and termination

We may update these terms. If a change is material we will tell you by email or in the app before it takes effect. You can close your account at any time from the account page, which deletes your reports.

9. Governing law

These terms are governed by the laws of the Province of Manitoba and the federal laws of Canada that apply there. Courts in Manitoba have jurisdiction, unless the law where you live gives you the right to bring a claim there.
